These Terms of Use (“Terms”) govern your use of the services provided by Excel Prodigy (together with our affiliates, “Excel Prodigy,” “we,” “our,” or “us”), accessible through our website located at https://excelprodigy.in and related platforms (collectively, the “Site”). By accessing, browsing, or registering for our training services or any associated features (collectively, the “Service”), you (“you” or “user”) agree to comply with these Terms.
If you are using the Service on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms.
PLEASE READ THESE TERMS CAREFULLY. BY USING OUR SITE OR SERVICES, YOU ACCEPT THESE TERMS. IF YOU DO NOT AGREE TO THEM, PLEASE DO NOT USE OUR SERVICE.
1. Account Registration
1.1 Creating an Account
To access certain features or enroll in training programs, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for any activity occurring under your account.
1.2 Account Access via Third Parties
You may choose to access the Site via third-party accounts (e.g., Google, LinkedIn). If you do so, you permit us to access certain information from that platform as permitted by their terms and our Privacy Policy.
1.3 Account Security
You are solely responsible for the security of your account. Notify us immediately of any unauthorized use or suspected breach.
2. Excel Prodigy Plans and Purchase Terms
2.1 Plans
The features and pricing for your access to Excel Prodigy’s training services are determined by the plan you select—Individual, Corporate, or any special custom plan (each, a “Plan”). You can view available courses and submit an inquiry for pricing and features via our Contact Us page.
2.2 Free Demo or Trial Access (If Applicable)
Excel Prodigy may offer limited-time demo classes or trial access to selected modules (“Free Plan”). This is provided on a non-transferable, non-exclusive, revocable basis and may be withdrawn or modified at any time without prior notice. Free demo access is purely for evaluation purposes.
2.3 Individual Plan
If you register for an Individual Plan, Excel Prodigy grants you a personal, non-transferable, non-exclusive license to access training content and support for the selected duration and course. Individual Plans are meant for personal skill development and cannot be shared or used commercially.
2.4 Corporate Training Plans
(a) Business License
If you enroll your organization in a Corporate Training Plan, Excel Prodigy grants your company a non-exclusive, limited license to access the training services for the agreed duration as per your signed agreement or order confirmation.
(b) Seats and Access
Corporate Plans include access for a specified number of employees (“Seats”). Each Seat is assigned to an individual participant and cannot be shared or transferred during the term. If required, Seat reassignment can be done with prior written approval within a reasonable limit (e.g., 10–20%).
(c) Custom Add-ons
Organizations may request additional Seats or modules during the contract term. Any additions will be priced on a pro-rata basis, and usage is conditional upon timely payment.
(d) Publicity
Unless explicitly opted out, Excel Prodigy may mention your company name and logo in its list of clients or promotional material, purely for marketing and informational purposes.
2.5 Fees & Payment
All Plans are subject to applicable course fees (“Subscription Fee”) and local taxes. Payments must be made on or before the due date to maintain access to services. Fees are generally non-refundable unless otherwise agreed upon in writing. We reserve the right to revise pricing; however, any changes will only apply after your current term ends.
2.6 Auto-Renewal (Optional)
For plans with recurring billing (e.g., monthly access to online modules), your subscription will auto-renew unless canceled prior to the renewal date. You can cancel by contacting our support team. No partial refunds will be issued for cancellations made during an active subscription period.
3. Trial Subscriptions and Beta Access
From time to time, Excel Prodigy may offer certain courses or services on a free or trial basis (“Trial Access”) or provide early access to experimental features, tools, or modules not yet publicly released (“Beta Access”). These may include features labeled as pilot, beta, alpha, early release, or other similar terms. These offerings are optional and made available at your sole discretion and risk.
While we strive to assist you during trial or beta periods, Excel Prodigy provides these services “as is” and “as available”—without any warranties, support commitments, uptime guarantees, or liability for loss or errors. Trial or beta versions may include incomplete content, bugs, or other limitations and may change significantly before a full release—or be discontinued altogether.
Excel Prodigy reserves the right to withdraw, suspend, or modify any Trial or Beta Access at any time without prior notice or liability. By using these offerings, you agree that Excel Prodigy is not liable for any damage or data loss resulting from your participation.
4. Usage of the Service
4.1 Restrictions
Your use of Excel Prodigy’s website, learning materials, and training services is subject to the following restrictions:
- (a) You may not license, sell, rent, lease, distribute, or otherwise commercially exploit any part of our training content or services.
- (b) You may not modify, copy, or reverse engineer any content, code, or training modules, unless explicitly permitted.
- (c) You may not use the Service to develop competing products or training offerings.
- (d) Unless explicitly stated, no part of our Service may be downloaded, duplicated, reposted, or shared publicly in any form.
- (e) All copyright and proprietary notices must be retained on all copies of training content and materials.
4.2 Fair Use Limits
We reserve the right to monitor usage to ensure fair access. If your usage exceeds normal or expected limits, we may suspend or restrict your access. For example, repeatedly sharing login credentials or downloading excessive training materials may trigger action.
For corporate clients with seat-based plans, activating or assigning an unusually high number of users beyond the agreed plan may be considered a breach of fair use and result in additional fees or account restrictions.
4.3 Service Changes
Excel Prodigy may update, change, or remove certain features or content at any time without prior notice. This may include course restructuring, UI changes, or removal of outdated modules. Your sole remedy for dissatisfaction is to discontinue use of the affected service.
4.4 Service Availability
We aim to provide consistent access to our online services, but you understand that service interruptions can occur due to internet traffic, maintenance, server updates, or other external factors. Excel Prodigy is not liable for access delays, downtime, or any disruptions outside our control.
4.5 Support and Maintenance
Unless otherwise agreed in writing (e.g., through a corporate support package), Excel Prodigy is under no obligation to provide technical support or maintenance during or after your access to any service. You are encouraged to reach out through our contact channels for assistance, but support availability is not guaranteed unless specified in your training plan.
5. Payment Terms
5.1 Payment
Subscription holders agree to pay the fees specified at the time of purchase. Depending on your location, payment method, and other factors, your transaction may be subject to foreign exchange fees or price differences due to exchange rates and other geographic-specific pricing. Any agreement you have with your payment provider will govern your use of your specified payment method. We may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle. Your failure to terminate and continued use of your subscription reaffirms that we are authorized to charge you for that subscription.
5.2 Billing Authorization
You may be asked to provide a credit, charge, or debit card number from an accepted card issuer to activate your subscription. You authorize us to charge your specified payment method on a recurring basis for subscriptions and to place holds on your payment method with respect to any unpaid charges. You agree to provide updated payment information upon request and acknowledge that neither Excel Prodigy nor any agent will have any liability for any insufficient funds or other charges incurred as a result of attempts to charge or place holds on your specified payment method.
5.3 Third-Party Payment Processors
You agree to pay us, through our payment processors, all charges at the prices then in effect for any purchase in accordance with the applicable payment terms presented at the time of purchase. We reserve the right to correct any errors or mistakes, even if payment has already been requested or received.
5.4 Invoice Payment
As a business plan subscription holder, if you choose to be invoiced, your subscription fee will be invoiced as of the subscription start date when the seats are activated. The subscription fee is due as of the invoice date, payable within thirty (30) days of said date and according to the instructions on the invoice.
6. Termination and Cancellation
6.1 Termination
We may deactivate or terminate your rights to use the service or terminate your plan if we believe you have breached or acted inconsistently with these terms. Such deactivation or termination may be effected without prior notice, and we will not be liable to you or any third party for any deactivation of your account or termination of your plan.
6.2 Cancellation of Individual Plan
You may cancel your individual plan at any time via your user account settings page or by contacting Excel Prodigy support. After cancellation, your individual plan will remain active until the end of your current term, provided your subscription fee is paid. We do not offer refunds on any fees or charges related to your individual plan, including any partially used or unused periods for which you have already paid.
6.3 Cancellation of Business Plan
(a) Cause
We or the business plan subscription holder may cancel the business plan or any order form prior to its expiration if the other party breaches these terms and fails to cure the breach within thirty (30) days after receipt of notice. Except for instances arising from our uncured breach, all subscription fees or charges related to your business plan are non-refundable, and all unpaid fees are due and payable immediately upon cancellation.
(b) Convenience
A Business Plan may be cancelled for convenience with at least thirty (30) days’ notice prior to the expiration of the current Business Term, either via your account settings page or by written notice to Excel Prodigy. Upon cancellation, your Business Plan will remain active until the end of the current term, provided all Subscription Fees have been paid in full. Please note, all portions of the Subscription Fee are non-refundable in the event of cancellation for convenience. Your obligation to pay fees continues through the end of your Business Term, regardless of whether the services are actively used.
6.4 Post-Termination or Cancellation
These Terms will continue in effect until terminated or expired in accordance with this Section. Upon termination or expiration of your Account or Plan:
- All rights granted to you under these Terms will terminate immediately.
- Your access to the training platform and services will be disabled.
- Any user-generated content or course progress associated with your account may be deleted or removed from our systems at our discretion.
- Excel Prodigy shall not be liable to you or any third party for the termination of your access or for the deletion of your data or content.
Even after your access has been terminated, the following sections shall remain in effect: Sections 6, 7 (if applicable), 8, 10 through 16.
7. Intellectual Property
7.1 Ownership
All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the services and content provided by Excel Prodigy are owned by Excel Prodigy or its licensors. This includes, but is not limited to, training materials, course content, software, and any statistical data derived from your use of our services. Your use of our services does not grant you ownership of any intellectual property rights in our services or the content you access.
7.2 User Content
By submitting any content (such as feedback, suggestions, or other materials) to Excel Prodigy, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving our services. You represent and warrant that you have the necessary rights to grant this license and that your content does not infringe upon the rights of any third party.
7.3 Restrictions
You agree not to:
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of our services or content without express written permission from Excel Prodigy.
- Modify, adapt, or hack our services or modify another website to falsely imply an association with our services.
- Use our services for any illegal or unauthorized purpose.
8. User Conduct
8.1 Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for all content you upload, post, or otherwise transmit via our services.
8.2 Prohibited Conduct
You agree not to:
- Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Engage in any activity that interferes with or disrupts our services or servers.
- Third-Party Links and Services
Our services may contain links to third-party websites or services that are not owned or controlled by Excel Prodigy. We are not responsible for the content, policies, or practices of any third-party websites or services. You acknowledge and agree that Excel Prodigy shall not be liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
- Indemnification
You agree to indemnify and hold Excel Prodigy, along with its officers, employees, and agents, harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with:
- Your use or misuse of our services.
- Your violation of these Terms of Use.
- Your violation of any applicable laws or regulations.
- Content you submit, post, or transmit through our services.
Excel Prodigy reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent. - Disclaimers
Our services are provided on an “as-is” and “as-available” basis. Excel Prodigy makes no warranties, express or implied, regarding the operation or availability of our services, or the information, content, or materials included therein. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
- Limitation of Liability
To the maximum extent permitted by law, Excel Prodigy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from our services.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.
- Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through our services.
In no event shall Excel Prodigy’s aggregate liability exceed the amount you have paid us in the past twelve (12) months for the services giving rise to the claim.
